Terms and Conditions

These Terms and Conditions of Contract govern the commercial relationships between YIMAILIFE, S.L. and its professional clients (B2B) arising from requests for quotation and the acquisition of products through the website www.yimailife.es or any other sales channel enabled by YIMAILIFE. By confirming an order, the client expressly accepts these conditions.

1. Contracting Parties

Seller: YIMAILIFE, S.L., Tax ID B88253265, registered at Av. de las Flores, 35, Humanes de Madrid, Spain.

Client: a natural person with legal capacity, or a legal entity acting within the scope of their professional or business activity. YIMAILIFE operates exclusively in the B2B channel. No sales are made to end consumers through this site.

2. Quotation Request and Order Placement

2.1 Quotation Request

The purchasing process begins with a quotation request through the website cart or the contact form. The request is non-binding and does not create any obligation to buy or sell until the quotation is expressly accepted.

The process steps are:

  1. The client selects the desired products and quantities and submits the quotation request.
  2. YIMAILIFE issues a detailed quote by email within a maximum of 72 working hours.
  3. The client accepts the quote in writing (by email or by signing the document). The contract is formed at that point.
  4. YIMAILIFE confirms receipt of the order and communicates the estimated delivery date.

Issued quotes are valid for 30 calendar days unless otherwise expressly stated, after which they may be updated in accordance with prevailing market conditions.

2.2 Product Availability

YIMAILIFE will make every effort to ensure the catalogue reflects actual stock availability. If a requested product is unavailable, we will notify the client as soon as possible and, if the order cannot be fulfilled, we will cancel it at no charge.

3. Prices and Taxes

All prices indicated on the website and in issued quotes are:

  • Expressed in euros (€).
  • Net prices excluding VAT, unless expressly stated otherwise. The applicable VAT rate will be detailed in the quote and in the final invoice.
  • Subject to change without notice until the quote is confirmed. Once the quote is accepted, the price is fixed.

Orders destined for the Canary Islands, Ceuta or Melilla are exempt from VAT under applicable tax regulations (Spanish VAT Act 37/1992). In these cases, shipping costs are entirely borne by the client and will be detailed in the quote. For clients in the European Union outside Spain, specific tax conditions may apply and will be expressly stated in the quote.

4. Payment Methods

YIMAILIFE accepts the following payment methods, as agreed in the quote:

  • Bank transfer: using the bank details provided in the pro forma invoice. The order is processed upon confirmation of receipt of funds.
  • Cash on delivery: available for certain clients and subject to prior approval by YIMAILIFE.
  • Deferred payment (trade credit): not a standard option. It will be assessed individually based on the order and the commercial relationship history, always through a prior written agreement with YIMAILIFE.

4.1 Payment Conditions for Custom Orders

Orders for customised products (with client-specific logo, design or manufacturing) require the following payment conditions, given their unique nature and the anticipated production costs:

  • Initial deposit: 30% of the total order amount is payable upon order confirmation. The start of the design and manufacturing process is subject to receipt of this deposit.
  • Payment of remaining balance: the remaining 70% shall be paid upon receipt of the goods at destination, or according to the payment schedule agreed in the individual contract, which may include partial payments depending on the volume and total order amount.

Specific payment conditions for large-volume custom orders are negotiated individually and set out in the signed contract between the parties, which shall prevail over the general conditions stated here.

Late payment will accrue, without prior notice, the default interest provided for in Act 3/2004 of 29 December on measures to combat late payment in commercial transactions.

5. Shipping and Delivery Times

5.1 Delivery Area

YIMAILIFE ships to the entire Spanish territory and to the main countries of the European Union. International shipments are managed on a case-by-case basis and may be subject to additional costs and lead times.

5.2 Lead Times

Standard delivery lead times are:

  • In-stock product: 48–72 working hours from payment confirmation.
  • Out-of-stock or made-to-order product: lead time depends on availability and will be expressly confirmed in the quote prior to order acceptance.
  • Customised product: the process includes design, manufacturing and international shipping, so the usual lead time is 2 to 3 months from order confirmation and payment of the deposit. The definitive timeline will be set out in writing in the accepted quote.

Indicated lead times are indicative and non-binding unless expressly agreed in writing. YIMAILIFE is not responsible for delays caused by force majeure circumstances, as set out in clause 14 of this document.

5.3 Shipping Costs

Shipping conditions are as follows:

  • Mainland Spain: free shipping on orders of €600 or more (excl. VAT). For lower-value orders, shipping costs will be detailed in the quote.
  • Balearic Islands: shipping costs will be detailed in the quote. Not included in the mainland free shipping threshold.
  • Canary Islands, Ceuta and Melilla: shipping costs are entirely borne by the client, regardless of the order amount.
  • International: shipping costs and any customs formalities are borne by the client. The amount will be stated in the quote.

5.4 Order Receipt

The client must inspect the order upon delivery. Any visible anomaly (damaged packages, incorrect quantity) must be noted on the carrier's delivery note and communicated to YIMAILIFE within 24 hours of receipt by email to info@yimailife.es.

6. Right of Withdrawal and Returns

Important note (B2B): As these are contracts concluded between businesses and professionals, the right of withdrawal recognised under Royal Legislative Decree 1/2007 (TRLGDCU) for consumers does not apply to B2B commercial relationships. Return conditions are subject to the provisions of this section.

YIMAILIFE accepts returns in the following circumstances:

  • Defective or non-conforming product: the client must notify us within 7 working days of receipt for apparent defects. For latent defects, the claim period is 30 days from discovery, pursuant to Article 342 of the Spanish Commercial Code. YIMAILIFE will proceed with replacement or refund, at the client's choice.
  • Order error attributable to YIMAILIFE: replacement at no additional cost.
  • Voluntary return of in-stock products: accepted within 14 calendar days of delivery, with products in perfect condition, in their original packaging and with no signs of use. Return shipping costs are borne by the client. A 15% restocking and handling fee will be applied.
  • Returns of customised products (with client logo or design) are not accepted, except in cases of manufacturing defect or error attributable to YIMAILIFE.

7. Warranties

YIMAILIFE guarantees that all its products comply with current regulations on food safety, food-contact materials and applicable environmental requirements. YIMAILIFE works with suppliers who maintain quality and environmental management systems, and technical product documentation is available upon request.

The statutory warranty for B2B transactions is governed by Articles 333 et seq. of the Spanish Commercial Code. In the event of a latent defect, the client shall have 30 days from discovery to make a claim, pursuant to Article 342 of the Spanish Commercial Code.

8. Retention of Title

The supplied goods remain the property of YIMAILIFE until full payment of the invoiced amount, including applicable shipping costs and taxes. Until such payment, the client may not encumber, assign, sell or otherwise dispose of the goods without the express written authorisation of YIMAILIFE. Risk of loss or damage passes to the client upon delivery to the carrier or, as applicable, at the agreed delivery address.

9. Technical and Descriptive Variations

Images, colours, dimensions, weights and finishes of the products shown in the catalogue are for guidance only. They may present slight variations from the final product due to the manufacturing process, production tolerances, printing differences or display on different digital devices. Such variations do not constitute a defect or grounds for complaint, unless they exceed the technical tolerances customary in the industry or the specifications expressly agreed in the accepted quote.

10. Intellectual Property of Custom Designs

Designs, artwork or logos provided by the client for product customisation are the sole responsibility of the client, who warrants that they hold the necessary intellectual property rights and that their reproduction does not infringe third-party rights.

11. Liability and Limitation

YIMAILIFE shall not be liable for indirect damages, loss of profit or loss of earnings arising from the use of its products, except where liability cannot be excluded by law. YIMAILIFE's maximum liability in any claim shall not exceed the value of the order to which the claim relates.

This limitation of liability shall not apply in cases of fraud or gross negligence on the part of YIMAILIFE, as established in Article 1102 of the Spanish Civil Code.

12. Amendments to Conditions

YIMAILIFE reserves the right to amend these Terms and Conditions. Any amendment will be notified to clients with an active commercial relationship by email at least 15 days in advance of its entry into force. The version in force at the time the quote is accepted shall apply to that specific order. Clients are advised to review this document before each order.

13. Data Protection

The personal data of client contact persons is processed in accordance with Regulation (EU) 2016/679 (GDPR) and Organic Law 3/2018 (LOPDGDD). 14. Force Majeure

YIMAILIFE shall not be liable for non-performance or delay in performing its obligations where this results from causes beyond its control and reasonable foresight, including but not limited to: natural disasters, fires, floods, epidemics or pandemics declared by a competent authority, acts of war or terrorism, third-party strikes or labour disputes, governmental restrictions, interruptions in the supply of raw materials or components, or failures in transport or communications networks.

In the event of force majeure, YIMAILIFE will notify the client as soon as reasonably practicable, indicating the nature of the event and the estimated duration. The obligations of both parties shall be suspended for the duration of the force majeure event, without entitlement to compensation. If the situation continues for more than 60 calendar days, either party may terminate the contract by written notice without penalty, with YIMAILIFE refunding amounts paid for services not rendered, less any irrecoverable production costs already incurred in the case of custom orders.

This clause is governed by Article 1105 of the Spanish Civil Code.

15. Governing Law and Dispute Resolution

These conditions are governed by Spanish law. For any dispute arising from the contracting, the parties submit, expressly waiving any other jurisdiction they may be entitled to, to the Courts and Tribunals of Madrid. However, the parties may resort to mediation or arbitration as an alternative dispute resolution mechanism before initiating legal proceedings.
